Nestwise Education Terms & Conditions
These Terms & Conditions apply to all services and digital products provided by Nestwise Education.
1. Services
Nestwise Education provides professional learning, consulting, advisory services, document and resource creation, in-person and in-school services, and online educational courses.
Services may be delivered as one-off engagements, ongoing consulting arrangements, or digital products, as agreed in writing.
All services are provided in good faith and are general in nature. Outcomes may vary depending on context, implementation, and individual circumstances.
2. Engagement & Scope
The scope, delivery format, and timing of services will be outlined in writing, including via proposal, email, or invoice.
Any changes to scope, delivery method, or timelines must be agreed in advance and may incur additional fees.
3. Fees & Payment
All fees are outlined in the issued invoice unless otherwise agreed in writing.
Payment is due in full within 7 days of the invoice date, unless otherwise agreed in writing.
For in-person services, full prepayment is required prior to delivery unless otherwise agreed in writing.
Nestwise Education reserves the right to suspend, delay, or cancel services, withhold materials, or defer delivery where payment is overdue or not received in full.
For digital products and online courses, where GST is applicable and cannot be itemised at checkout due to platform limitations, prices are displayed as GST-inclusive.
4. Late Payment & Non-Payment
If payment is not received within the stated terms:
services may be paused or cancelled
delivery of documents or resources may be delayed
access to digital products or materials may be suspended
Nestwise Education is not responsible for delays or non-delivery resulting from late or non-payment.
5. Cancellations & Rescheduling
In-Person Services
For in-person services (including on-site professional learning, workshops, and consulting), the following cancellation terms apply:
Cancellations or major changes made within 7 days of the scheduled service are non-refundable.
Cancellations or major changes made more than 7 days prior to the scheduled service may, at the discretion of Nestwise Education:
be rescheduled to a future date, or
receive a credit for future services.
Refunds are not guaranteed.
Other Services
For online services, consulting, document creation, and non-in-person delivery:
reasonable notice is required for cancellation or rescheduling
work already completed or in progress remains payable
refunds are not guaranteed
6. Digital Products & Online Courses
All digital products and online courses are provided for the purchasing organisation’s use only.
Due to the nature of digital products:
full payment is required prior to access being granted
refunds are not provided once access has been issued, unless required by law
Nestwise Education is not responsible for access issues resulting from incorrect purchase details, email filtering, or third-party platform issues outside reasonable control.
Digital products and online courses are licensed for use by the purchasing individual or organisation only and may not be shared, reproduced, or distributed beyond that use.
7. Intellectual Property
All materials created or provided by Nestwise Education — including presentations, documents, resources, frameworks, and digital course content — remain the intellectual property of Nestwise Education unless otherwise agreed in writing.
Materials may not be shared, reproduced, or distributed outside the purchasing organisation without written permission.
8. Limitation of Liability
Nestwise Education does not guarantee specific outcomes from the use of its services or materials.
To the extent permitted by law, Nestwise Education is not liable for any loss, damage, or indirect consequences arising from participation in, reliance on, or implementation of services or materials.
Services and materials are provided for general guidance only and do not replace independent professional or organisational decision-making.
9. Confidentiality
Information shared during consulting, professional learning, or service delivery will be treated respectfully and confidentially, except where disclosure is required by law.
10. Governing Law
These Terms & Conditions are governed by the laws of Victoria, Australia.
11. Acceptance of Terms
By engaging Nestwise Education services, purchasing digital products, or paying an invoice, you agree to these Terms & Conditions.
12. Force Majeure
Nestwise Education is not liable for failure or delay in providing services where such failure or delay is due to circumstances beyond reasonable control, including illness, injury, government restrictions, school closures, extreme weather, or other unforeseen events.
Where possible, services will be rescheduled or a credit provided.
13. Entire Agreement
These Terms & Conditions, together with any written agreement or invoice, constitute the entire agreement between the parties and supersede any prior discussions or representations.
